# Voice Receptionist Add-On Amendment Version 1.0 ## 1. Parties and election This amendment is between stoplosses.ai LLC, a Wyoming limited liability company with its principal office at 3660 Oxford Ave, Bronx, NY 10463 (“AskElira”), and [Legal school name] (School name: [School]; “School”). It amends the parties’ Master SaaS & Services Agreement (“MSA”), its Exhibit A Order Form, the Data Processing Agreement (“DPA”), and the applicable New York Education Law § 2-d Addendum or New York Private School Data Security and Privacy Addendum. This is the separate amendment called for in the Voice Receptionist Add-On row of the Order Form and a written instrument signed by both parties under MSA § 14.2. That Order Form row is treated as **Ordered** for the School. ## 2. Numbers and forwarding The School’s published office number it may forward is [Office number] (the “forwarded number”). On signature, AskElira assigns and operates a US local number for the School (the “AskElira number”; the number AskElira assigns on signature, [AskElira number]). AskElira holds that number; it is not transferred to the School. The School sets its own phone system to forward to the AskElira number at the times it chooses: after hours or on closure days, when no one answers after the number of rings it sets, or when its line is busy. ## 3. Existing voice and data terms MSA §§ 1 and 2.8, DPA §§ 3.1, 3.5, 3.7 and 5.3(a), and the applicable data-security addendum’s voice provisions govern this Add-On and are incorporated by reference. The packet’s TCPA Consent & Outreach Scripting § 5a, as amended in packet v3.5, governs the opening and language-specific consent paths. The operating mode is keypad confirmation: the carrier plays a recording of the fixed opening in the assistant’s voice generated by OpenAI’s voice model from the School name and fixed script, with no caller data or Student Data, or speaks the same text with carrier text-to-speech if that recording is unavailable. The opening identifies the automated AI assistant, discloses that the call is recorded and transcribed and handled live by the School’s AI services, AskElira and OpenAI, and offers English, Spanish and Arabic choices. No caller audio reaches the AI model provider and no Call Transcript begins before the caller presses the continue key after hearing the notice in the chosen language. Only after AskElira records counsel’s written confirmation may it use AI-spoken disclosure-and-continue, with the notice restated first for Spanish or Arabic; it emails the School on the switch day. The School may retain keypad confirmation in its Order Form. Neither path transfers to staff. A caller asking for a person is offered an answer or a dashboard message with the transcript. A caller describing an emergency or safety incident is told the office is unavailable and a message is taken through the refused-topic path. A proposed message containing a question is answered first if approved facts cover it; the office receives a message only if the caller still wants it or no approved answer is available. Each answered phone question and answer is kept for office review as a Voice Receptionist Record, not used as knowledge without staff confirmation or correction. AskElira creates no stored call audio recording; provider-held content is governed by the DPA. These are summaries only; the incorporated packet terms govern on conflict. ## 4. Availability and fees AskElira answers forwarded calls only while the School has completed Build Elira's Brain, the Add-On is enabled, and the pilot or Agreement is active. Otherwise, a caller reaching the AskElira number hears a short service-unavailable line and the call ends. During the free three-calendar-month pilot, the Add-On costs $0, includes 120 minutes per calendar month, stops at 200 minutes in that month, and incurs no overage charge. After the pilot, if the School has a paid subscription, the included minutes, overage rate and billing terms are those in Official Pricing Structure § 5 and the Order Form. ## 5. Stopping and end of term The School may stop new calls being answered at any time, immediately and without penalty, by selecting "Stop Elira answering calls" in its dashboard or by stopping its own forwarding. It may turn the Add-On back on without signing again, while the applicable term and activation conditions still hold. This Add-On ends when the pilot or Agreement ends. Stopping the Add-On does not terminate the MSA or change the DPA's treatment of records already created. ## 6. Electronic execution The School represents that its signer is authorized to bind it. Both parties consent to execute and retain this amendment electronically under the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and New York's Electronic Signatures and Records Act (State Technology Law article 3). The School signs through its dashboard; AskElira's authorized signatory, Alvin Kerremans, Chief Executive Officer, applies AskElira's signature when the School signs, as AskElira's acceptance. The effective date is [Effective date]. AskElira emails a signed copy to the School's signer.
